CONSTITUTION ASSOCIATION OF PHYSICAL AND NATURAL THERAPISTS 1 NAME The Association shall be known as the Association of Physical and Natural Therapists (hereinafter called ‘The Association’) 2 OBJECTS The objects of the Association shall be to serve the public good by: A. Establishing standards and content of education and training for persons practising or proposing to practise Physical Therapies. B. Testing by examination or otherwise such persons. C. The award of diplomas and certificates to candidates who satisfy the Association as to their fitness to practise Physical Therapies PROVIDED THAT any diploma or certificate of proficiency which may be granted shall on the face of it express that it merely shows the result of an examination set by the Association, or the opinion of the Association or its officers and that it is not issued under, or in pursuance or by virtue of any statutory or government sanction or authority. D. Issuing syllabi for these purposes. E. Acting in co-operation with other bodies of persons (whether corporate or unincorporated, statutory or voluntary) engaged in or in connection with the foregoing objects. F. Assist any charitable body or bodies having similar objects as aforesaid. G. Obtain, collect and receive money and funds by way of contribution donations, affiliation fees, subscriptions, legacies, grants and any other lawful method and accept and receive gifts of property of any description (whether subject to any special trusts or not). H Procure and provide information abut the study and practise of all the Physical Therapies set out hereunder. I Procure to be written and print, issue and circulate gratuitously or otherwise any books, pamphlets, leaflets, list of members or other documents. J Arrange Insurance coverage for all members of the Association against all insurable risks which members will face in practise as Physical Therapists at the most reasonable premium available. K Promulgate and establish a Code of Ethics and set of Rules which shall govern all members of the Association. L Promote, encourage or undertake experimental work and initiate and encourage research. M Do all such other things as shall further the objects of the Association. 3 MEMBERSHIP OF THE ASSOCIATION A Membership of the Association shall be open to Physical Therapists with qualifications and repute, as the Association shall deem requisite. B No person shall be debarred from membership of the Association by reason of race, class, sex or religious belief C The Association shall not be required to state its reasons if in its discretion it rejects an application of membership. D The Association may co-opt persons having special knowledge or experience in connection with the Association’s objects aforesaid for such period as the Association shall determine PROVIDED ALWAYS that the number of co-opted members shall not exceed at any one time one-fourth of the subscribing members of the Association. E The Association may invite any person to attend its meetings as an observer, but without power to vote. F The Executive Committee hereinafter mentioned shall have the right for good and sufficient reason to terminate the membership of any member or co-opted member provided that any such member shall have the right to be heard by the Executive Committee before a final decision is made. 4 OFFICERS A. At its inaugural meeting, the Association shall elect President, a Chairperson, A Treasurer and such other Honorary Officers, as the Association shall from time to time decide. B. All such Honorary Officers shall hold office until the conclusion of the Annual General Meeting of the Association next after their election, but shall be eligible for re-election. C. The Association shall appoint one or more qualified auditors and may determine their remuneration (if any). 5 EXECUTIVE COMMITTEE A. Subject to any conditions imposed from time to time by the Association and as hereinafter mentioned, the policy and general management of the affairs of the Association shall be directed by an Executive Committee whose membership shall consist of: 1. Not more than five elected members, or such other number as the Association may from time to time decide. 2. The Honorary Officers. 3. Any members co-opted under Clause 3 hereof. B. The first members of the Executive Committee shall be elected at the inaugural meeting of the Association. C. The Executive Committee shall have the power to co-opt persons whether or not being members of the Council to serve on the Executive Committee and for such period not exceeding six consecutive years as the Executive Committee shall determine PROVIDED THAT the number the number of such co-opted members shall not exceed one-fourth of the total number of elected members serving on the Executive Committee at any one time. D. Election (as opposed to co-option) to the Executive Committee shall be for three years. E. One third of the elected members of the Executive Committee shall retire annually but shall be eligible for re-election, the members so to retire being those who have been longest in office since their last election, but not reckoning ex-officio or co-opted members. As between members who have been in office the same length of time, those due to retire shall be chosen by lot. F. The Executive Committee shall meet not less than three times a year. G. Any casual vacancy on the Executive Committee may be filled by the Executive Committee and any person appointed to fill such vacancy shall hold office until the conclusion of the Annual General meeting of the Association and shall be eligible for re-election at that meeting. H. The proceedings of the Executive Committee shall not be invalidated by any failure to appoint or any defect in the appointment, election, co-option, or qualification of any member thereof. I. The Executive Committee shall appoint a General Secretary and such other staff as shall in their opinion be necessary and shall determine his or her or their remuneration, duties and conditions of service. 6 NOMINATION OF OFFICERS AND EXECUTIVE COMMITTEE Nominations from members of the Association for either Honorary Officers or members of the Executive Committee must be in the hands of the General Secretary at least fourteen clear days before the Annual General Meeting. Should nominations exceed vacancies, the election shall be decided by a simple majority of those resent and entitled to vote thereat. The Executive Committee may fill any casual vacancy occurring in the offices of the Honorary Offices elected by the Association and may, subject to any conditions imposed by the Association, appoint any other Honorary Officers, but all such appointments shall be subject to confirmation by the Executive Committee at its next meeting. 7 FINANCE COMMITTEE, SPECIAL & STANDING COMMITTEES The Association or, failing the Association, the Executive Committee may appoint a Finance Committee and such other Special or Standing Committees as may be deemed necessary and may determine their term of reference, powers, duration and membership, PROVIDED that no Committee may be given power to co-opt more than one-fourth of its total membership. 8 MEETINGS OF THE ASSOCIATION A. The Annual General Meeting of the Association shall be held in each year at such time (not being more than fifteen months after the holding of the preceding Annual General Meeting) and place, as the Executive Committee shall determine. At least twenty-one clear days notice shall be given in writing by the General Secretary to the members. B. A Special Meeting of the Association shall be called at fourteen clear days notice in writing upon the written demand of three members or by the Chairperson of the Association or by the Executive Committee. C. At the Annual General Meeting the Business shall include the election of a Chairperson and Honorary Officers as aforesaid, the election of persons to fill vacancies on the Executive Committee the appointment of auditors and the consideration of an annual report of the work done by or under the auspices of the Association and of the audited accounts. D. The proceedings of the Association shall not be invalidated by any failure to appoint or any defect in the appointment, election of qualification of any member thereof. 9 RULES OF PROCEDURE AT ALL MEETINGS A. QUORUM The quorum at a meeting of the Association and at a meeting of any Committee shall be one-quarter of the Association or Committee or such other number as the Association may from time to time determine. B. VOTING Subject to the provisions of Clause 12 and 13 hereof all questions arising at any meeting shall be decided by a simple majority of those present and entitled to vote thereat. No person or teaching establishment shall exercise more than one vote, but in an equality of votes the Chairperson shall have a second or casting vote. Where it is deemed necessary to seek the views of the complete membership on any matter, then at the discretion of the Executive Committee, a postal ballot may be held. In such case a majority of two-thirds of the returned voting papers will be required to carry any motion. Subject to Clause 14 hereof, any voting papers not returned within the specified period will be deemed as abstentions. C. MINUTES Minute books shall be kept by the Executive Committee and all other Committees and the appropriate Secretary shall enter therein a record of all proceedings and resolutions. 10 FINANCE A. The Income and property of the Association whencesoever derived shall be applied solely towards the promotion of the objects of the Association as set forth in this Constitution and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to any member of the Association PROVIDED THAT reasonable and proper remuneration to any officer or servant of the Association or repayment of out of pocket expenses. B. A bank account shall be opened in the name of the Association with the Midland Bank or with such other bank as the Executive Committee shall authorise in writing. The Honorary Treasurer and the General Secretary of the Association shall sign cheques on behalf of the Association. All cheques must be signed by not less than two authorised signatories. C. The Association may appoint a custodian trustee or a trust corporation of not less than three persons to hold any property held by or in trust for the Association or may, with the agreement of the Official Custodian for Charities, transfer to him personal property (within meaning of section 16 (2) of the Charities Act 1960) so held and make application for and order vesting in him any other property so held. 11 THE ASSOCIATION’S YEAR AUDIT The Association’s year shall run from September 1st to August 31st. Once at least in every year the accounts of the Association shall be audited by auditors appointed under Clauses 4 and 8 hereof. 12 DISSOLUTION The Association may at any time be dissolved by a resolution passed by a two-thirds majority of those present and voting at a meeting of the Association of which at least twenty-one clear days notice shall have been sent to all members of the Association. Such resolution may give instructions for the disposal of any assets held by or in the name of the Association PROVIDED THAT if any property remains after the satisfaction of all debts and liabilities, such property shall not be paid to or distributed among the members of the Association, but shall be given or transferred to such charitable institution or institutions having objects similar to some or all of the objects of the Association as the Association may, with the approval of the Charity Commissioners or other authority having jurisdiction under the Charities Act 1960 or other relevant legislation, determine. 13 ALTERATIONS TO THE CONSTITUTION Alterations to the Constitution shall receive the assent of not less than two-thirds of the members of the Association present and voting. A resolution for the alteration of the Constitution shall be received by the General Secretary of the Association at least twenty-one clear days before the meeting at which the resolution is to be brought forward. At least fourteen clear days notice in writing of such meeting shall be given by the Secretary of the Association to the members and shall include notice of the alterations proposed PROVIDED THAT no alteration to Clauses 2 or 12 of this Constitution shall be made without the approval of the Court or the Charity Commissioners or other authority having jurisdiction under the Charities Act 1960 or other relevant legislation. 14 NOTICE Any notice may be served by the General Secretary on any member by delivering it personally or by sending it through the post in a prepaid letter addressed to such member at his last known address in the United Kingdom and any letter so sent shall be deemed to have been received by the member within ten days of posting. 15 INTERPRETATION The Interpretation Act 1889 applies for the interpretation of this Constitution as it applies to an Act of Parliament.
